Proposed amendments to the NAHSL Chapter Bylaws

To be considered at the NAHSL Annual Business Meeting, held at Newport, Rhode Island, on Tuesday October 26, 2010. (NB: proposed changes are in boldface type)

[MOTION 1]

MOTION: The NAHSL Executive Board recommends modifying “Article III. Membership. Section 3. Dues” of the existing Bylaws.

A. Dues shall be determined by a majority vote of those present and eligible to vote at an Annual Business Meeting where dues changes are presented.

Section 3. Dues
A. Dues shall be determined by a majority vote of eligible voting members. Following their approval, dues changes shall go into effect at the beginning of the next fiscal year.

MOTION: The NAHSL Executive Board recommends modifying “Article V. Officers. Section 1. Elected Officers” of the existing Bylaws.

Section 1. Elected Officers
Elected officers of the Chapter shall be a Chair; a Conference Chair-Elect; a Chair-Elect/Conference Chair; a Past Chair; a Representative to the Chapter Council; an Alternate Representative to the Chapter Council; a Secretary; a Treasurer; and a candidate for the MLA Nominating Committee.

Section 1. Elected Officers
Elected officers of the Chapter shall be a Chair, a Chair-Elect, a Past Chair, a Representative to the Chapter Council, an Alternate Representative to the Chapter Council, a Secretary, a Treasurer, and a candidate for the MLA Nominating Committee.

[MOTION 3]

MOTION: The NAHSL Executive Board recommends modifying “Article V. Officers. Section 2. Nominating Committee” of the existing Bylaws.

Section 2. Nominating Committee
The Nominating Committee shall consist of the Past Chair and two members of the Chapter appointed by the Executive Board. The Past Chair shall serve as Committee Chair. This committee shall select annually one or more nominees for the offices of Conference Chair-Elect and candidate for the MLA Nominating Committee, and every third year, or as necessary, one or more nominees for the offices of Secretary, Treasurer, Representative to the Chapter Council and Alternate Representative to the Chapter Council.
The Conference Chair-Elect position shall rotate each year among the geographic areas within the NAHSL boundaries.

Section 2. Nominating Committee
The Nominating Committee shall consist of the Past Chair and two members of the Chapter appointed by the Executive Board. The Past Chair shall serve as Committee Chair. This committee shall select annually one or more nominees for the office of Chair-Elect and a candidate for the MLA Nominating Committee, and every third year, or as necessary, one or more nominees for the offices of Secretary, Treasurer, Representative to the Chapter Council and Alternate Representative to the Chapter Council.

MOTION: The NAHSL Executive Board recommends modifying “Article V. Officers. Section 3. Elections and Terms of Office. A.“ of the existing Bylaws.

Section 3. Elections and Terms of Office
A. The officers shall be elected by a majority vote of the members present at the Annual Business Meeting. Where there are more than one candidate, a plurality shall elect.

Section 3. Elections and Terms of Office
A. Ballots shall be distributed to the voting membership by the Nominating Committee at least 30 days prior to the Chapter’s Annual Business Meeting and shall be received by the Nominating Committee by the date previously announced for counting ballots. Candidates shall be declared elected upon receiving a majority of the votes cast. Where there are more than two candidates, a plurality shall elect.

MOTION: The NAHSL Executive Board recommends modifying “Article V. Officers. Section 3. Elections and Terms of Office. C.” of the existing Bylaws.

Section 3. Elections and Terms of Office
C. The term of office of the Chair shall be, in succession, one year as Conference Chair Elect, the second year as Chair Elect/Conference Chair, the third year as Chair, and the fourth year as Past Chair. No one may serve more than one successive term as Conference Chair Elect, Chair-¬Elect/Conference Chair, Chair and Past Chair.

C. The term of office of the Chair shall be, in succession, one year as Chair-Elect, the second year as Chair, and the third year as Past Chair. No one may serve more than one successive term each as Chair-Elect, Chair, and Past Chair.

MOTION: The NAHSL Executive Board recommends modifying “Article VII. Committees. Section 1. The Conference Committee” of the existing Bylaws.

Section 1. The Conference Committee
Two years prior to each annual conference, a Conference Committee shall be organized and shall consist of the Conference Chair (elected and designated Chair-Elect), and the NAHSL Education Committee member, a Program chair and a Hospitality chair, all from the hosting state. Other members of the Conference Committee may be appointed as needed by the Conference Chair.

Section 1. The Conference Committee
Two years prior to each annual conference, a Conference Committee shall be organized and shall consist of the Conference Chair and the NAHSL Education Committee member, a Program chair and a Hospitality chair, all from the hosting state. MOTION: The NAHSL Executive Board recommends modifying “Article X. Amendments” of the existing Bylaws.

ARTICLE X. Amendments
These bylaws may be amended by a two thirds (2/3) vote of the membership present at the Annual Business Meeting, provided that the proposed amendments have been sent in writing to the entire membership at least twenty one (21) days prior to the meeting. This notification may be done electronically via email.

These bylaws may be amended by a two-thirds vote of the ballots cast, provided that the amendment has been submitted to the membership at least twenty-one (21) days prior to the vote being taken.
